Description of the assignment
1. Planned activities
The service provider must support the the State Property Fund of Ukraine (SPFU) by performing the following activities:
● Assessment of selected enterprises (review of the legal status, liabilities, other relevant characteristics of the enterprises);
● identification of the main gaps, legal obstacles, hindrances, seizures and proceedings that might limit or prevent liquidation, termination;
● provision of legal expertise to remove such obstacles;
● support to SPFU in the relevant court proceedings to remove those obstacles .

1. Coordination
The service provider shall designate a single contact person for project implementation purposes.
The service provider's counterpart within the EU4SAR’s Project (Expertise France) will be the Component coordinator, together with the Key Expert for Corporate Governance, who will coordinate the assignment as part of the pool of Short Term and Recurrent Experts mobilized along the course of Action implementation.

Assignment reports
A report following the model provided must be forwarded to the Key expert on Corporate Governance and Project Coordinator by e-mail on conclusion of the assignment.
Description du projet ou contexte
Context and justification of the need
The EU4SAR Project will continue to provide assistance to the State Property Fund of Ukraine in the area of bankruptcy of state-owned enterprises, supporting both the development of the relevant legal framework and the resolution of practical issues arising in individual bankruptcy cases. The SPFU manages a large portfolio of SOEs, many of which are financially distressed, loss-making or dormant. As of today some 700 SOEs are considered for the liquidation. Given scale and complexity of portfolio, the SPFU is requiring legal advice with regard specific cases to address problematic enterprises more effectively.
The assignment will provide the SPFU with expert support in the bankruptcy and liquidation of SOEs, including the analysis of individual cases, identification of legal and procedural issues, development of legal positions and preparation of legal opinions and procedural documents. The expert group consisting of two experts / insolvency practitioners will be set up to support the SPFU.
The assignment will consist in case-specific legal assistance. The experts will work closely with the SPFU to develop legally sound and practical solutions, including recommendations, analytical assessments, relevant legal documents.

Provide the SPFU with specialised legal support in the bankruptcy and liquidation of state-owned enterprises.

● Provide case-specific legal advice and support in bankruptcy and liquidation proceedings involving SOEs.
● Develop legal positions, opinions, recommendations and procedural documents for individual cases.
● Identify legal and procedural issues and support the SPFU in developing practical solutions.
3. Anticipated results
● Legal advice and solutions provided for priority SOE bankruptcy and liquidation cases.
● Legal positions, opinions and procedural documents prepared to support the SPFU in relevant proceedings.
● increased number of liquidation and termination procedures initiated by the Fund;
● Shorter proceeding duration for SOE liquidation/termination.
Profil souhaité

2. Profile of the designated expert(s) responsible for contract execution
A. Qualifications and skills:
• Degree in law or economics
• Fluent Ukrainian, knowledge of English is an asset
• Excellent planning and time management skills
• Excellent writing and analytical skills
B. General professional experience
● At least 7 years experience in the legal field: excellent knowledge of procedural laws and bankruptcy proceedings, management of distressed assets, knowledge of commercial, civil, land and tax laws, as well as laws regulating procedures for managing state property; experience in bankruptcy cases involving SOEs, commercial, civil and administrative disputes.
● Experience of exercising activity of insolvency practitioner.
● Experience in cooperation with international institutions and technical assistance projects is preferred
