Description of the assignment

1. Planned activities

The experts must support the Ministry of Economy and Environment of Ukraine, the State Property Fund of Ukraine (SPFU) by performing the following activities:

 

1.1 on the design of a special vehicle for distressed assets

       Assess international models and develop a concept for a “bad bank” / specialised distressed-asset vehicle for the management and resolution of illiquid SOE assets, including recommendations for its potential application in Ukraine, develop the model concept for Ukraine.

 

1.2 On non-operationnal SOEs

•      Assessment of existing legal and regulatory obstacles preventing from efficient market exit of non-operational SOEs;

·        Development of regulatory and procedural proposals related to 1) creation of simplified procedure for Bankruptcy of SOEs 2) restructuring (sanation) of SOEs 3) Bankruptcy of companies located at temporary occupied territory;

·        Development of amendments to legal and regulatory framework;

 

1.3 on SOEs internal control 

·        Assess internal control mechanisms, procedures and instruments at SOE level, their effectiveness and compliance with the national regulations & international standard;

·        Assist in developing a roadmap and guidance package for internal control system establishment in SPFU-managed SOEs

 

1.4 on anti corruption framework for SOEs

·        Assist in assessing the anti-corruption frameworks in SOEs and develop recommendations for their improvement.

 

1.5 On strengthening supervisory board institutional capacities

·        Assist SPFU in improving procedures  of the nomination, functioning and evaluation of SB.

Report and proposal of concept for a “bad bank” / specialised distressed-asset vehicle, including recommendations for its potential application in Ukraine.

 

The report should include an analysis of relevant international approaches and practices, assessment of their applicability to the Ukrainian legal and institutional context, and identification of the potential scope, governance structure, asset eligibility criteria and operational model of such structure. It should also identify potential benefits and risks, legal and institutional prerequisites, and options for implementation in Ukraine, including recommendations on possible pilot application.

 

Q3 2026 – Q1 2027

Analytical report, expert recommendations in relation to internal control and risk management systems in SOEs.

Q1 2027 -Q4 2028

Analytical report, expert recommendations in relation to application of anticorruption framework.

1. Coordination

The service provider shall designate a single contact person for project implementation purposes.

The service provider's counterpart within the EU4SAR’s Project (Expertise France) will be the Component coordinator, together with the Key Expert for Corporate Governance, who will coordinate the assignment as part of the pool of Short Term and Recurrent Experts mobilized along the course of Action implementation.

A report following the model provided must be forwarded to the Key expert on Corporate Governance and Project Coordinator by e-mail on conclusion of the assignment.

 

Description du projet ou contexte

Context and justification of the need

The State Property Fund of Ukraine and the Ministry of Economy and Environment face significant challenges in managing distressed and financially non-viable state-owned enterprises, including enterprises with illiquid or non-core assets, accumulated liabilities and limited possibility for operations. The existing framework for dealing with such assets remains fragmented and often results in lengthy restructuring or insolvency procedures and limited recovery of asset value. Against this background, upon the request of the Ministry of Economy, there is a need to assess alternative institutional and operational models for managing distressed state assets and to identify solutions that could improve the efficiency of their restructuring, disposal or liquidation.

The expert will conduct an in-depth assessment of the “bad bank” / specialised distressed-asset vehicle model as a potential mechanism for the centralised management, restructuring and resolution of illiquid or problematic assets of SOEs. The assignment will include an analysis of relevant international approaches and practices, assessment of their applicability to the Ukrainian legal and institutional context, and identification of the potential scope, governance structure, asset eligibility criteria and operational model of such structure. Based on the analysis, the expert will identify potential benefits and risks, legal and institutional prerequisites, and options for implementation in Ukraine, including recommendations on possible pilot application.

In addition, the expert will contribute to analytical work on internal control systems and anti-corruption frameworks within SOEs. This will include assessing existing arrangements, identifying key gaps and weaknesses, and developing recommendations for strengthening internal controls, risk management, and other relevant anti-corruption mechanisms.

 III. Objectives and desired results

1. General objective

The objective is to support the SPFU and the Ministry of Economy and Environment in developing a more integrated approach to the management of distressed SOEs, combining effective asset resolution mechanisms with stronger governance, internal control and integrity frameworks.

2. Specific objectives

       Assess international models and practices for the management and resolution of distressed and illiquid state assets, including “bad bank” and specialised distressed-asset vehicle models, and their relevance and applicability to the Ukrainian context.

       Prepare a comprehensive report identifying expected benefits, key risks, legal and institutional prerequisites, implementation options and recommendations for a potential pilot application in Ukraine.

       Contribute to the assessment of internal control systems in SOEs.

       Support the assessment and strengthening of anti-corruption and integrity frameworks in SOEs.

       Provide analytical and advisory support to the SPFU and the Ministry of Economy and Environment.

3. Anticipated results

       A feasibility report for a “bad bank” / specialised distressed-asset vehicle for managing and resolving illiquid SOE assets.

       Recommendations for strengthening internal control and risk management systems in SOEs.

       Recommendations for strengthening anti-corruption frameworks in SOEs.

2. Profile of the designated expert(s) responsible for contract execution

A. Qualifications and skills:

      Degree in law or economics

      Fluent Ukrainian, knowledge of English is an asset

      Ability to work well in a team

      Excellent planning and time management skills

      Excellent writing and analytical skills

B. General professional experience

      At least 7 years experience in related to management of non-performing debts, insolvency procedures, management of public assets, corporate governance.

      Experience of work in the banking sector.

      Experience in cooperation with international institutions and technical assistance projects is preferred

C. Specific professional experience
