Mission description

1. Planned activities

The service provider must support the Regional Office of the SPFU in performing the following activities:

•       Providing assistance to SOE management, SPFU regional offices, and the SPFU head office in the organization and preparation of documents required for privatization and corporatization

•       Technical assistance to the Regional Office of SPFU and mentoring its employees in drafting letters of request/responses required in the process of preparation for privatization and corporatization

•       Communication with representatives of the enterprise regarding the status of preparation of documents, certificates, tracking the status of readiness, etc.

•       Verification of documents and their completeness received from the enterprise to the Regional Office in the course of preparation for privatization (according to the defined list) and corporatization

•       Providing an overview of individual SOE's legal problems to the SPFU

•       Support and assistance to the Regional Office of SPFU and mentoring its employees in forming the package of documents required for filling the privatization virtual data room

•       Verification of the provision of adequate documentation for the virtual data room, preparation and publication of the auction information message about the SOE being privatized

•       Support of procedures and advisory support in terms of compliance with the requirements of privatization legislation in the process of publication of the information message and announcement of the auction for the sale of small privatization objects

•       Consulting the Regional Office of SPFU and mentoring its employees on the registration of property rights and registration documents required for privatization and corporatization

•       Supervise a team of up to 5 consultants who will perform the same tasks, in addition to providing accounting advice,  in matters required for privatization and corporatization

1. Coordination

The service provider shall designate a single contact person for project implementation purposes.

The service provider's counterpart within the EU4SAR’s Project (Expertise France) will be the Component coordinator, together with the Long-Term Expert acting as Key Expert for Privatization, who will coordinate the assignment as part of the pool of Short Term and Recurrent Experts mobilized along the course of Action implementation.

Project or context description

The EU4SAR program, financed by the European Union and the French Ministry of Europe and Foreign Affairs supports the transformative agenda on the Governance of State-Owned Enterprises and its alignment with EU acquis, international standards and best practices. Expertise France assists both the State Property Fund of Ukraine and the Ministry of Economy and Environment of Ukraine to improve their capacities regarding the i) design of the governance & privatization policies, ii) their implementation and iii) the control, oversight and monitoring of the State-Owned assets. The project provides technical assistance under the form of expertise, procurement of goods & services and capacity building. The project duration is through July 2029.

In this context, the Small Privatization/Corporatization Support Consultant will provide legal assistance in the processes of selling and corporatizing (transforming from state unitary enterprises into limited liability companies or joint stock companies) state owned enterprises. He/she will provide analytical and technical support to the privatization authorities in collecting and preparing documentation required for privatization and corporatization of state assets, as well as active assistance in training qualified personnel, building their skills in working with legal and financial documents, and accumulating knowledge and experience regarding the processes of privatization and corporatization of state enterprises. One consultant of the two to be hired will be designated to coordinate and supervise the team of up to 5 consultants that will provide this support, which will include accounting assistance, to the State Property Fund of Ukraine, its regional offices, and the SOEs being corporatized and  privatized.

III. Objectives and desired results

1. General objective

The objective of the assignment is for the privatization and corporatization preparation teams to  provide legal and accounting assistance in the processes of selling and corporatizing state owned enterprises, and to provide analytical and technical support to the privatization authorities in collecting and preparing documentation required for privatization and corporatization of state assets, including training and capacity building of qualified personnel.

2. Specific objectives

●       Analysis of legal problems hindering individual SOE privatization and corporatization and proposals for solutions

●       Advising on property registration issues

●       Support on preparation  of financial documentation

●       Support on preparation of corporate documentation

●       Support on preparation of privatization auction  documentation

●       Preparation of training  materials and conducting of training seminars for regional offices and SOE management

●       Recommendations for prioritization of the privatization and  corporatization pipelines

 

3. Anticipated results

●       Increase in the number of SOEs prepared for privatization over the 2025 total of 38 successful SOE auctions

●       Provision of  support for 50% of all successful SOE privatization auctions

●       Successful launch of the SPFU corporatization program, allowing it to meet future targets and increase its yearly corporatization volume

A. Qualifications and skills:

•       Ukrainian as a mother tongue, proficiency in English is an advantage; knowledge of French is an asset

•       Bachelor's and/or Master's degree in finance, management, law, or other related field

•       Foreign technical assistance program experience preferred

C. Specific professional experience

•       Familiarity with corporate financial, legal, and property registration documents

•       Knowledge of Ukrainian legislation related to privatization, corporatization, and operation of the State Property Fund of Ukraine

•       Ability to read, understand and work with financial statements (BS, P&L, CF)

•       Experience in organizing interaction between various institutional stakeholders

•       Supervisory experience of technical assistance teams (for team leader)
